Digri.ai — Web & Mobile Application

These Terms of Use (“Terms”) govern your access to and use of the Digri.ai web platform, mobile application, dashboards, APIs, and related services (collectively, the “Platform” or “Services”), operated by GyanMatrix Academy Private Limited (“GyanMatrix”, “we”, “our”, “us”), a company incorporated in India with its registered office at 1st Floor, Mapa Centre, Near Lakshmi Mills, Coimbatore – 641037, Tamil Nadu, India.
By creating an account, signing in, or otherwise using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
These Terms constitute an electronic record under the Information Technology Act, 2000 and the rules made thereunder, and do not require a physical or digital signature.
1. Definitions
- “Institution” — any college, school, training centre, or corporate entity that subscribes to the Services for its students, employees, or affiliates.
- “User” — any individual who accesses the Services, including Students, Mentors, Faculty, HODs, Admins, Chairmen, Placement Officers, Recruiters, and Guests.
- “Content” — any text, code, files, images, audio, video, assessments, questions, submissions, profiles, reports, or other material made available on or through the Services.
- “User Content” — Content that is uploaded, submitted, generated, or otherwise contributed by a User.
- “Digri.ai Content” — all Content provided by GyanMatrix, including question banks, AI-generated feedback, lab records, templates, dashboards, and software.
2. Eligibility
You may use the Services only if you:
- Are at least 18 years of age, or are a minor accessing the Services through an Institution that has obtained verifiable parental or guardian consent in accordance with applicable law;
- Have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872; and
- Are not barred from receiving the Services under the laws of India or any other applicable jurisdiction.
If you are using the Services on behalf of an Institution, you represent that you are authorised to bind that Institution to these Terms.
3. Account Registration & Security
- Accounts are provisioned by your Institution or created via authorised sign-up flows.
- You must provide accurate, current, and complete information and keep it updated.
- You are responsible for safeguarding your login credentials and for all activity that occurs under your account.
- You must notify us immediately at support@digri.ai of any unauthorised access or suspected breach.
- We may suspend or terminate accounts that show signs of compromise, fraud, or abuse.
4. License to Use the Services
Subject to your compliance with these Terms, GyanMatrix grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for personal, academic, or internal Institutional purposes. No other rights are granted, expressly or by implication.
5. User Roles & Responsibilities
The Platform supports multiple roles. Access and permissions are configured by each Institution:

Mentor / Faculty | Guide students, monitor progress, and use Platform data only for legitimate academic purposes. |
HOD | Oversee department performance, manage faculty allocations, and ensure compliance. |
Admin / Chairman | Configure Institution settings, manage users, and ensure responsible institutional use. |
Placement Officer | Manage placement drives, share verified student profiles only with consent. |
Recruiter | Use student data only for bona fide hiring purposes and in compliance with applicable laws. |
6. Acceptable Use
You agree NOT to:
- Use the Services for any unlawful, fraudulent, harmful, or unauthorised purpose.
- Impersonate any person, misrepresent your affiliation, or provide false credentials.
- Upload viruses, malware, or any code designed to disrupt or compromise the Services.
- Attempt to gain unauthorised access to any part of the Services, other accounts, or supporting systems.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, except to the extent permitted by law.
- Scrape, harvest, or collect data from the Platform using automated means without our prior written consent.
- Use the Services to harass, threaten, defame, or discriminate against any person.
- Post or share content that infringes intellectual property, privacy, or other rights of any third party.
- Resell, sublicense, or commercially exploit the Services or Digri.ai Content without prior written authorisation.
- Circumvent any technical or security measures, including proctoring and rate limits.
7. Assessment Integrity & Proctoring
To preserve the credibility of Digri.ai assessments, you specifically agree that you will not:
- Use unauthorised resources, notes, code, or assistance (including AI tools) during proctored assessments unless explicitly permitted.
- Communicate with other Users about active assessment content.
- Allow another person to take an assessment in your place.
- Attempt to copy, screenshot, record, or distribute assessment questions or solutions.
- Disable or circumvent proctoring features (camera, screen monitoring, tab restrictions).
By taking a proctored assessment, you consent to the collection of webcam images, screenshots, and integrity-event data as described in our Privacy Policy. Detected violations may be reported to your Institution and may result in assessment invalidation, account suspension, or other action under the Institution’s academic policies.
8. AI-Powered Features
Digri.ai uses Google Vertex AI (Gemini) and similar models to generate hints, evaluate code, compare submissions, produce feedback, and create question variants. You acknowledge that:
- AI outputs may be imperfect, incomplete, or occasionally incorrect.
- AI outputs are not a substitute for human judgement, academic guidance, or professional advice.
- You will independently verify any AI-generated recommendations before relying on them for academic, hiring, or career decisions.
- Your inputs to AI features are processed in accordance with the Privacy Policy and Google Cloud’s data processing terms; they are not used to train foundation models.
9. User Content & Intellectual Property
9.1 Your Content
You retain ownership of the User Content you submit. By submitting User Content, you grant GyanMatrix and your Institution a worldwide, royalty-free, sublicensable license to host, store, reproduce, display, adapt, and use such content solely for the purpose of operating, improving, and providing the Services, including AI evaluation, analytics, and placement workflows.
9.2 Our Content
All Digri.ai Content, software, design elements, trademarks (including “digri.ai”, “Veril.ai”, and “GyanMatrix”), logos, and the look-and-feel of the Platform are owned by or licensed to GyanMatrix Academy Private Limited and are protected under Indian and international intellectual property laws. No rights are granted to you except as expressly stated.
9.3 Feedback
If you provide feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, royalty-free right to use them without restriction or compensation.
10. Third-Party Services & Integrations
The Services may integrate with third-party platforms including GitHub, LeetCode, HackerRank, HackerEarth, SonarCloud, and Stack Overflow. You authorise us to retrieve public profile and activity data from these platforms when you connect them. Your use of those services is governed by their own terms and privacy policies. GyanMatrix is not responsible for third-party services, outages, or changes in their APIs.
11. Fees, Subscriptions & Payment
- Most students access Digri.ai through their Institution at no direct cost to the student.
- Institutional subscriptions are governed by separately signed agreements, proforma invoices, or purchase orders.
- All fees are quoted in Indian Rupees (INR) unless otherwise stated and are exclusive of applicable GST and other taxes, which will be charged at prevailing rates.
- Payments are non-refundable except where required by law or expressly provided in a written agreement.
- Late payments may attract interest at the rate permitted under applicable law and may result in suspension of the Services.
12. Privacy
Your use of the Services is also governed by our Privacy Policy, available at https://digri.ai/privacy-policy/, which explains how we collect, use, and safeguard personal data. By using the Services, you acknowledge and accept the Privacy Policy.
13. Suspension & Termination
We may suspend, restrict, or terminate your access to the Services, in whole or in part, with or without notice, if:
- You breach these Terms or any other agreement with us;
- Your Institution’s subscription expires, is terminated, or is in default;
- Your conduct poses a security, legal, or reputational risk to GyanMatrix or other Users;
- Required by law, regulation, or order of a competent authority.
You may terminate your account at any time by contacting your Institution administrator or writing to support@digri.ai. Upon termination, your right to use the Services ceases, but provisions that by their nature should survive (intellectual property, disclaimers, limitations of liability, indemnity, governing law) will continue in force.
14. Disclaimers
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, GYANMATRIX DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OPERATION.
We do not warrant that:
- The Services will be error-free, secure, or continuously available.
- AI-generated outputs, evaluations, or recommendations will be accurate or suitable for any specific purpose.
- Placement outcomes, recruitment results, or examination scores will achieve any particular standard or outcome.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, GYANMATRIX AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE FEES ACTUALLY PAID BY YOUR INSTITUTION TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) INR 10,000.
Nothing in these Terms limits liability that cannot be excluded under applicable law.
16. Indemnification
You agree to indemnify, defend, and hold harmless GyanMatrix Academy Private Limited, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:
- Your breach of these Terms or the Privacy Policy;
- Your User Content or your use of the Services;
- Your violation of any law or any third-party right, including intellectual property or privacy rights.
17. Changes to the Services or Terms
We may modify, suspend, or discontinue any part of the Services at any time. We may also revise these Terms periodically. The “Last Updated” date reflects the latest revision. Material changes will be notified through the Platform, by email, or via in-app notification. Continued use of the Services after such notice constitutes acceptance of the revised Terms.
18. Governing Law & Dispute Resolution
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to the dispute resolution process below, the courts at Coimbatore, Tamil Nadu shall have exclusive jurisdiction.
Dispute resolution: In the event of any dispute, the parties shall first attempt to resolve the matter amicably through good-faith negotiations within 30 days of written notice. If unresolved, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by GyanMatrix. The seat and venue of arbitration shall be Coimbatore, and the language shall be English. The arbitral award shall be final and binding.

20. General Provisions
- Entire agreement: These Terms, together with the Privacy Policy and any Institutional agreement, constitute the entire agreement between you and GyanMatrix.
- Severability: If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
- No waiver: Our failure to enforce any right does not constitute a waiver of that right.
- Assignment: You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure: Neither party shall be liable for any failure or delay caused by events beyond its reasonable control, including acts of God, government action, internet outages, or pandemics.
- Notices: Notices to GyanMatrix must be sent to legal@digri.ai. Notices to you may be delivered through the Platform or via the email address on your account.
- Headings: Section headings are for convenience only and do not affect interpretation.
